Funding Process Management not only prepares due diligence documentation, but helps you assess the marketability of your business to either a potential buyer, or an investor. All of the important details are the same. If the details and facts do not support the claims of a Company, then buyers quickly lose interest. FPM makes sure that every claim of a business is documented with proof of that claim. This gives buyers confidence while also proving that a Company is a candidate for a loan.
Most buyers of a Company do not have sufficient funds to make an “all cash offer”. If a Company has a full Due Diligence Binder, the buyer can present the Due Diligence Binder to his/her bank and request financing to complete the sale. The ability to prove the profit claims of your company makes the transaction finance-able for a potential buyer.
Presentations
FPM will assist in coaching management to prepare and give presentations to prospective purchasers of the business. This includes the scripting of the presentation as well as selection of materials and PowerPoint presentations.
FPM can provide templates for a number of different agreements that may be useful in the process of selling your business. Templates may include Letters of Intent, Proof of Funds Statements, Financial Capacity Statements, Non-Disclosure Agreements, Non-Circumvention Agreements, Confidentiality Agreements, Non-Compete Agreements and Consulting Agreements. All legal documents should be first reviewed by an attorney beforehand. FPM does not offer legal advice.
FPM can help in developing an “Operator’s Playbook” to assist you in documenting the best practices for your industry in an effort to simplify the process of teaching potential buyers how to operate the business profitably.
Introductions
FPM can arrange introductions to financial institutions, attorneys and other financial professionals on an as needed basis. These introductions are always to professionals that have a long history with FPM staff members and have a track record of success.
Negotiations
FPM is available to act as your agent and negotiate the price and terms of a financing or a sale of your business. Negotiation agreements are to be paid on an hourly basis and may include a pre-approved success fee. All negotiations are subject to the approval of the client and are non-binding until approved.
Please note, FPM does not develop business plans or business continuation plans. FPM cannot offer these services because it is important that your business plan reflects a deep knowledge of your particular business sector/industry. However, FPM may update and edit an existing business plan to help conform to current conditions.
